TERMS AND CONDITIONS

for the sale of goods through an online store located at store.ottodiy.com (hereinafter the “Website”).

1. PRELIMINARY PROVISIONS
1.1. These terms and conditions (hereinafter the "Terms and Conditions") of Otto DIY Workshop s.r.o., residing on the address Nové Sady 988/2, Staré Brno, 602 00 Brno, Czech Republic, identification number: 08237841, registered in the Commercial Registry at the Regional Court in Brno, section C, file 112621 (hereinafter referred to as "Seller") govern in accordance with § 1751 par. 1 of Act No. 89/2012 Coll., Civil Code (the "Civil Code") of the Czech Republic mutual rights and obligations arising in connection with or pursuant to the purchase agreement (hereinafter the "Purchase Agreement") concluded between the seller and any other natural person (hereinafter the "Buyer") through the online shop of the seller. The online shop is operated by the seller on the website store.ottodiy.com via the web interface (hereinafter the "Web Interface of the Shop").
1.2. Terms and conditions do not apply to cases where a person who intends to purchase goods from the seller is a legal entity or person who is ordering goods in the course of their business or in their separate occupations.
1.3. Any provisions differing from the Terms and Conditions may be arranged in the Purchase Agreement, which is concluded by means of distant communication (via an order and its confirmation) in English language. Any such differing provisions of the Purchase Agreement shall prevail over the provisions of these Terms and Conditions.
1.4. Provisions of the Terms and Conditions are an integral part of the Purchase Agreement. The online shop on the website is in English language. These Terms and Conditions are written and available on the website in both English and Czech language. In case of divergence between the language versions, the Czech version shall prevail.
1.5. The Terms and Conditions may be modified or amended by the Seller. This provision shall not in any way affect the rights and obligations which had arisen during the validity of the previous wording of the Terms and Conditions.

2. CONCLUSION OF THE PURCHASE AGREEMENT
2.1. Any presentation of the goods placed in the Web Interface of the Shop is informative and seller is not obliged to conclude a purchase agreement regarding this product. The provisions of § 1732 par. 2 of the Civil Code shall not apply.
2.2. Web Interface of the Shop provides information about goods, including purchase price of individual goods and costs associated with packaging and shipment of the goods (these costs depend on the weight of the products ordered, the delivery address of the Buyer and the selected type of shipment). The final price, which is generated on the website after putting the selected goods into the shopping cart and selecting the requested type of shipment, does not include the customs duty, VAT or any other tax burden imposed according to the legal regulations of the country of delivery, which need to be paid in connection to the import of the goods into the country of delivery and which the Buyer is obliged to pay in addition to the final price (the final price within the meaning of this provision, hereinafter the “Final Price”).
2.3. The Purchase Price remains in force as long as it is displayed in the Web Interface of the Shop. This provision shall not affect the entitlement of the Seller to conclude the Purchase Agreement under individually negotiated conditions.
2.4. To order goods, the Buyer shall fill an order (an offer to conclude an agreement) via a form in the Web Interface of the Shop. The order form contains information about:
2.4.1. specification of the subject of Purchase Agreement - the ordered goods (the ordered goods shall be "added" by the Buyer into an electronic shopping cart in the Web Interface of the Shop),
2.4.2. the complete name and surname of the Buyer,
2.4.3. e-mail address of the Buyer (necessary for sending the confirmation of the order and any possible resulting communication of the agreement parties), hereinafter the “Electronic Address of the Buyer”,
2.4.4. telephone number of the buyer (necessary for delivering the goods and for contact with the Customs authorities when the goods enter into the country of destination - the country of delivery),
2.4.5. delivery address (street and house number, postal code, city and country - country of destination/delivery),
2.4.6. method of payment of the purchase price of the goods, which is possible only in a cashless way via a payment gateway,
2.4.7. details regarding the requested method of delivery of the ordered goods,
2.4.8. information about the costs associated with the shipment of the goods,
2.4.9. note from the Buyer (facultative)
(hereinafter collectively referred to as the "Order").
2.5. Before sending the order, the Buyer is redirected to the payment gateway, where the Final Price needs to be paid.
2.6. The Buyer can send the order to the Seller (i.e. the website will enable the Buyer to send it) only if all the following conditions are fulfilled:
2.6.1. after filling all the boxes in the order form, excluding the box for a note, which is facultative
2.6.2. after sending the Final Price via the payment gateway
2.7. The Buyer is responsible for providing all information in a correct and true manner; the Seller considers all data provided by the buyer to be correct and does not perform any verification. In case of filling incorrect data in the order form or a change in the data after filling in the order form before the delivery of the goods, the Buyer is obliged to inform the Seller without delay.
2.8. The Buyer may perform orders without registration directly on the Web Interface of the Shop.
2.9. Before sending the Order to the Seller, the Buyer is entitled to review and change the data which were inserted into the Order by the Buyer, also with the opportunity for the Buyer to identify and correct errors which occurred when inserting the data into the Order.
2.10. The Buyer will submit the Order to the Seller by clicking on the button “Place Order”.
2.11. Upon receiving the Order, the Seller shall instantly send an automated confirmation of the Order to the Buyer via electronic mail, namely to the electronic address of the Buyer. The Purchase Agreement, with the content specified in the Order and in these Terms and Conditions, is concluded at the moment when the confirmation e-mail from the Seller is delivered to the Buyer (i.e. at the moment of confirmation of the order by the Seller).
2.12. If the Buyer uses the box labeled “note” in the order form for a request regarding a change of the content of the Purchase Agreement (a variance from these Terms and Conditions or from the preset text of the order form - e.g. a request for a different type of transportation etc.), the Purchase Agreement is not concluded by an automated confirmation e-mail within the meaning of the previous paragraph (2.11) but it is concluded only at the moment when the Seller responds to the note from the Buyer in a way that explicitly confirms the request (a variation from these Terms and Conditions or from the standard order form). If the Seller does not confirm the request from the Buyer (for example because the note was in a form of a question, which needs to be answered by the Seller), the Purchase Agreement is only concluded at the moment when the communication between the contracting parties shows that the parties reached an agreement over the particulars of the Purchase Agreement (including the matter addressed in the note). If the contracting parties do not reach an agreement over the content of the Purchase Agreement in an adequate time since submitting the order by the Buyer, the Purchase Agreement has not been concluded and the Seller is obliged to refund the received Final Price (which has been sent by the Buyer via the payment gateway when submitting the order) back to the Buyer; the Buyer is obliged to provide necessary cooperation to the Seller regarding the money refund.
2.13. Costs incurred by the Buyer when using the means of distant communication in connection with concluding a Purchase Agreement (cost of internet access, telephone costs) shall be paid by the Buyer, and these costs do not differ from the standard rate.

3. PRICE AND PAYMENT TERMS
3.1. The Final Price (i.e. the Purchase Price and the costs associated with the packaging and shipment of the goods) may be paid by the Buyer to the Seller only in a cashless manner via the Mollie Payment System (payment gateway).
3.2. The Seller requires the Buyer to send the entire Final Purchase Price before sending the Order and to receive the price (to the bank account of the Seller) before dispatching the goods to the Buyer. The provision of § 2119 par. 1 of the Civil Code shall not apply.
3.3. Any discounts on the price of goods provided by the seller to the buyer cannot be combined.
3.4. If it is customary in trade relations or if so provided by generally binding legal regulations, the Seller shall issue an invoice to the Buyer regarding the payments performed on the basis of the Purchase Agreement. The Seller is not a VAT payer. The invoice shall be issued by the Seller to the Buyer after the purchase price has been paid and shall be sent in an electronical form to the electronical address of the Buyer.
3.5. Refund of the Final Purchase Price when not concluding a Purchase Agreement - see paragraph 2.12 of these Terms and Conditions.
3.6. Refund of the Final Purchase Price when withdrawing from the Purchase Agreement - see Article 5 of these Terms and Conditions.

4. TRANSPORTATION AND DELIVERY OF THE GOODS
4.1. The Seller is a legal entity under the Czech law established in the Czech Republic, which is a member state of the European Union. The Seller has their registered office in the Czech Republic. Since the goods are manufactured for the Seller in the People’s Republic of China (PRC), the Buyer acknowledges that in order to achieve the lowest possible charge for the Buyer regarding the costs of transportation, customs duties, VAT or other tax burden, the goods will be delivered to the delivery address specified in the Order directly from the PRC (from the supplier of the Seller). The shipment of the goods shall be carried out in the way selected by the Buyer in the Order, or which was agreed on otherwise with the Seller.
4.2. When entering the country of destination - the country of delivery, the goods may be burdened (according to the regulations of the country of delivery) with customs duties, VAT or other tax burden, which are not included in the Final Price. The Buyer is obliged to pay for these extra costs (i.e. customs duties, VAT or other tax obligation) when the goods enter the country of delivery. In the event of failing to provide assistance with the entry of the goods into the country of destination or not paying the customs duties, VAT or other tax obligation at the entry of the goods into the country of destination according to the regulations of that country, the Buyer is obliged to pay to the Seller a compensation for the associated costs.
4.3. In the event that the method of transportation was negotiated on the basis of the Buyer’s specific request, the Buyer bears the risk and shall pay any potential additional costs associated with this method of transportation.
4.4. In the event that the goods had to be delivered repeatedly or in a different manner than specified in the Order due to reasons on the part of the Buyer, the Buyer is obliged to pay any expenses associated with the repeated delivery of the goods, or expenses associated with a different method of delivery.
4.5. At the moment of entry of the goods into the country of destination, the Buyer shall be contacted on the phone number provided to the Seller in the Order in order to provide assistance within the meaning of Paragraph 4.2.
4.6. When taking over the goods, the Buyer is obliged to inspect the integrity of the packaging of the goods, and to notify the carrier instantly in the case of any defects. In the event of identifying a damage of packaging indicative of unauthorized intrusion into the package, the Buyer is not obliged to take over the shipment.
4.7. The Seller undertakes to send the goods to the Buyer in the shortest possible time after receiving the Final Price from the Buyer. The delivery time, if stated with the goods, is of purely informative character and is not binding for the Seller.
4.8. The Seller shall not be responsible for the damage or loss caused by the delayed shipment or delivery of goods cause by any reason.
4.9. Other rights and obligations of the contracting parties regarding the transport of the goods may be regulated by special delivery terms of the Seller if they have been issued by the Seller.

5. WITHDRAWAL FROM THE PURCHASE AGREEMENT
5.1. The Buyer acknowledges that pursuant to § 1837 of the Civil Code, it is not allowed to withdraw from a purchase agreement on the delivery of goods which had been adjusted according to the wishes of the Buyer, from the purchase agreement for the supply of goods subject to rapid deterioration, as well as goods that were irretrievably mixed with other goods after delivery, from the purchase agreement for the supply of sealed goods which the consumer removed from their packaging and for hygienic reasons they cannot be returned and from the purchase agreement for the supply of audio or video recordings or computer program, if their original packing has been damaged.
5.2. Unless it is a case where Paragraph 5.1 applies or another case when withdrawing from the Purchase Agreement is prohibited, the Buyer is in accordance with § 1829 par. 1 of the Civil Code entitled to withdraw from the Purchase Agreement within fourteen (14) days upon taking over the goods, while if the subject of the Purchase Agreement consists of several types of goods or a delivery of several parts, such a period shall commence on the date of taking over the last delivery of the goods. The withdrawal from the Purchase Agreement has to be sent to the Seller within the period specified in the previous sentence. To withdraw from the Purchase Agreement, the Buyer may also use a sample form provided by the Seller, which forms an annex to the Terms and Conditions. The Buyer may send the withdrawal from the Purchase Agreement in paper form or to the Seller's e-mail address (tereza@ottodiy.com).
5.3. In case of withdrawal from the Purchase Agreement under the Art. 5.2 of the Terms and Conditions, the Purchase Agreement is cancelled since the beginning. The Buyer has to return the goods to the Seller within fourteen (14) days upon the withdrawal from the Purchase Agreement. If the Buyer withdraws from the Purchase Agreement, the expenses for the return of the goods to the Seller shall be borne by the Buyer, which also applies to cases when the goods cannot be returned via regular post due to their nature. The costs associated with the return of the goods to the Seller (sending them to the registered address of the Seller) may include VAT and customs duties, if the goods are dispatched from a country which is not a member of the EU or of the European Economic Area.
5.4. In order to eliminate doubts, the Seller explicitly declares that the Buyer is obliged to send legal action including withdrawal from the Purchase Agreement as well as the returned goods to the registered address/to the e-mail address of the Seller.
5.5. In case of withdrawal from the Purchase Agreement the Seller returns the funds received from the Buyer within fourteen (14) days since the withdrawal from the contract by the Buyer, in the same way as the Seller received them from the Buyer. If the Buyer withdraws from the Purchase Agreement, the Seller is not obliged to return the received financial means to the Buyer until the Buyer returns the goods to the Seller or proves that the goods were sent to the Seller.
5.6. The Seller is entitled to unilaterally off-set the claim to the compensation for the damage on the goods against the Buyer's claim for refund of the purchase price.
5.7. In the cases where the Buyer is entitled to withdraw from the Purchase Agreement under the § 1829 section 1 of the Civil Code, the Seller is also entitled to withdraw from the Purchase Agreement at any time, until the moment when the Buyer takes over the goods. The provisions of paragraph 5.5 shall be used likewise.
5.8. If the Buyer is provided with a gift accompanying the goods, the deed of gift between the Seller and the Buyer is concluded with a subsequent condition that if the Buyer withdraws from the Purchase Agreement, then the deed of gift regarding such gift expires and the Buyer is obliged to return the provided gift to the Seller together with the goods.

6. RIGHTS ARISING FROM DEFECTIVE PERFORMANCE
6.1. The rights and obligations of the contracting parties regarding the rights from defective performance are governed by the relevant legislation (in particular the provisions of § 1914 to 1925, § 2099 to 2117 and § 2161 to 2174 of the Civil Code and the Act no. 634/1992 Coll., On Consumer Protection, amended).
6.2. The Seller is liable to the Buyer for no defects on the goods on the delivery. In particular, the Seller is liable to the Buyer purchaser that when the Buyer receives the goods:
6.2.1. the goods display characteristics which the contracting parties have agreed upon, and if there is no such arrangement, the goods display such characteristics which the Seller or manufacturer had described or which the Buyer was entitled to expect given the nature of the goods and on the basis of the manner in which the Seller or the manufacturer had advertised the goods,
6.2.2. the goods are suitable for the purpose which had been specified by the Seller for the given goods or for the purpose for which the given type of goods is usually used,
6.2.3. the goods correspond by the quality and execution to the negotiated sample or model, provided that the quality or execution were specified on the basis of a sample or model,
6.2.4. the goods are in a corresponding amount, size or weight, and
6.2.5. the goods comply with the legal requirements.
6.3. The provisions of Art. 6.2 of these Terms and Conditions shall not apply to Goods sold at a lower price for a defect for which the lower price had been negotiated, to the wear and tear suffered by the goods due to their usual usage, and in the case of the goods that had already been used, to a defect which corresponds to the degree of use or wear and tear which had been present at the moment when the Buyer took over the goods, or if it results from the nature of the goods.
6.4. The Buyer is entitled to exercise the right from defective performance if the defect manifests itself in the course of 24 months after the takeover. If the defect manifests itself within six months after the takeover, it is presumed that the goods were defected already at the moment of the takeover.
6.5. The Buyer is obliged to report the defect of the goods without undue delay after detecting the defect or after he or she was able to detect the defect.
6.6. Apart from the obligation to notify the Seller about the defect, the Buyer is also obliged to select the respective claim from defective performance. The Buyer is obliged to notify the Seller about the selected claim from defective performance together with notifying the Buyer about the defect or without undue delay after reporting the defect.
6.7. The Buyer is entitled to the claims from defective performance depending on whether the defective performance is a fundamental breach of the Purchase Agreement or a non-fundamental breach of the Purchase Agreement. If the defective goods are a fundamental breach of the Purchase Agreement, the Buyer is entitled to claim removing of the defect according to his or her choice either by delivering a new defect-free product, supplying a missing product, removal of the defect by repairing the product, a reasonable reduction of the purchase price or by withdrawing from the Purchase Agreement. If the Seller fails to remove the defects within a reasonable time limit or if he notifies the Buyer that he will not remove the defects, the Buyer may, instead of having the defects removed, request a reasonable reduction of the Purchase Price or withdraw from the contract. If a defective performance constitutes a non-fundamental breach of contract, the Buyer has the right to have the defects removed, or to a reasonable reduction of the purchase price. The Buyer is entitled only to these rights also in the case of not selecting his or her right (after being informed by the Seller) according to § 2106 of the Civil Code (in case of a fundamental breach of the contract) in time.
6.8. If the goods lack the stipulated properties, the Buyer may also require the supply of a new product without defects, unless it is disproportionate to the nature of the defect; but where the defect only concerns a component part of the product, the Buyer may only request a replacement of that component part; if it is impossible, he or she may withdraw from the contract. If, however, it is disproportionate to the nature of the defect, in particular where the defect can be removed without undue delay, the Buyer has the right to have the defect removed gratuitously. Even where a defect is removable, the Buyer is entitled to have a new product supplied or a component part replaced if he cannot use the product properly due to the repeated occurrence of the defect after a repair or due to a larger number of defects. In this case, the Buyer shall also have the right to withdraw from the contract. If the Buyer does not withdraw from the contract or exercise his or her right to have a new defect-free product supplied, its component part replaced or the product repaired, he or she may require a reasonable price reduction. The Buyer also has the right to a reasonable price reduction where the Seller cannot supply to him a new defect-free product, replace a component part of the product or repair it, as well as where the Seller fails to provide for a remedy within a reasonable time or where such a remedy would cause substantial difficulties to the Buyer.
6.9. The Buyer shall not have the right arising from defective performance if, before the takeover of the goods, he or she had been aware that the thing had a defect, or if the defect was caused by the Buyer himself.
6.10. The warranty claim shall be processed no later than within 30 days after the day of asserting the claim. Where the goods need to be delivered to the Seller in order for the claim to be processed, the time limit is counted from the day of the delivery of the goods to the Seller.
6.11. The defect shall be reported and the rights arising from defected performance shall be exercised by the Buyer on the Seller’s electronical address tereza@ottodiy.com. The Buyer may contact the Seller on this e-mail address also in the case where he or she does not know what right from defect he or she should (may) exercise or how to make a warranty claim - the parties shall agree how to proceed via this e-mail address.

7. OTHER RIGHTS AND OBLIGATIONS OF THE CONTRACTING PARTIES
7.1. The Buyer acquires ownership of the goods by paying the entire Purchase Price.
7.2. In relation to the Buyer, the Seller is not bound by any codes of conduct within the meaning of the provisions of § 1826 par. 1 letter e) of the Civil Code.
7.3. Settlements of consumer complaints shall be handled via electronic address tereza@ottodiy.com. The information of the settlement of the Buyer’s complaint shall be sent by the Seller to the Buyer's email address.
7.4. The out-of-court settlement of consumer disputes arising from the Purchase Agreement is handled by the Czech Trade Inspection, headquartered at Štěpánská 567/15, 120 00 Praha 2, IČ: 000 20 869, Internet address: http://www.coi.cz. On-line platform for settling disputes at http://ec.europa.eu/consumers/odr can be used to settle disputes concerning the Purchase Agreement between the Seller and the Buyer.
7.5. European Consumer Center in the Czech Republic, headquartered at Štěpánská 567/15, 120 00 Praha 2, Internet address: http://www.evropskyspotrebitel.cz is the contact place according to the Regulation of the European Parliament and of the Council (EU) no. 524/2013 from 21 May 2013 about on-line settlement of consumer disputes and change of regulation (ES) no. 2006/2004 and directive 2009/22/ES (regulation for online settlement of consumer disputes).
7.6. The Seller is entitled to sell goods on the basis of a trade license. The supervision in the matters of trade licenses is carried out by the relevant Trade Licensing Office. The supervision in the matters of personal data protection is carried out by the Personal Data Protection Office. The supervision in the relevant matters of compliance with Act No. 634/1992 Coll., on consumer protection, as amended, is carried out by the Czech Trade Inspection.
7.7. The Buyer hereby assumes the risk of changes in circumstances within the meaning of § 1765 par. 2 of the Civil Code.

8. PERSONAL DATA PROTECTION
8.1. The personal data protection is covered in a separate document called Data Protection Policy published on the website of the Seller.

9. SENDING COMMERCIAL MESSAGES AND STORING COOKIES
9.1. The Seller shall not send any commercial messages to the Buyer.
9.2. The Buyer agrees with storing so called 'Cookies' on their computer. In the event that a purchase on the website can be made, and commitments agreed in the Purchase Agreement can be fulfilled without storage of 'Cookies' on the computer of the Buyer, the Buyer may withdraw their consent under the previous sentence at any time.

10. DELIVERY
10.1. Unless agreed otherwise in the Purchase Agreement, all correspondence among the Buyer and the Seller, especially related to the withdrawal from the Purchase Agreement must be delivered to the other party in paper form or in electronical form via the e-mail address. The correspondence is considered to be delivered and effective from the moment of their delivery, with the exception of the withdrawal from the Purchase Agreement by the Buyer, which is considered to be effective if sent by the Seller in the designated time period.
10.2. The Parties may send mutual regular correspondence in paper form or via e-mail, at the e-mail address specified by the Buyer in the Order and the address stated on the website of the Seller.

11. FINAL PROVISIONS
11.1. If the relationship established by the Purchase Agreement includes an international (foreign) element, then the parties agree that the relationship shall be governed by Czech law. This arrangement does not affect any rights of a consumer arising from generally binding legislation.
11.2. The matters which are not specified in the Purchase Agreement or in these Terms and Conditions abide by the Act No. 89/2012 Coll., Civil Code of the Czech Republic as amended. The translation of this law (the Civil Code) can be found for example on the website: http://obcanskyzakonik.justice.cz/images/pdf/Civil-Code.pdf. In case of divergence between the Czech and English language versions, the Czech version shall prevail.
11.3. The Seller and the Buyer conclude a prorogation agreement (an agreement about the choice of jurisdiction) and they select the Czech court as the competent court (of international jurisdiction).
11.4. Should any provision of these Terms and Conditions be or become invalid or ineffective, a provision, whose meaning is the closest to the invalid or ineffective provision, shall replace it. Invalidity or ineffectiveness of a single provision shall not affect the validity or effectiveness of the rest of provisions. Any changes or amendments of the Purchase Agreement or the Terms and Conditions shall be carried out in writing.
11.5. Changes and amendments to the Purchase Agreement or Terms and Conditions require a written form.
11.6. The Purchase Agreement, including the Terms and Conditions, is archived by the Seller in electronic form and it is not accessible either publically or to the Buyer.
11.7. The sample form for the withdrawal from the Purchase Agreement in regard to the right to withdraw from the Purchase Agreement form in 14 days annexes to these Terms and Conditions.

1. ÚVODNÍ USTANOVENÍ
1.1. Tyto obchodní podmínky (dále jen „obchodní podmínky“) obchodní společnosti Otto DIY Workshop s.r.o., se sídlem Nové Sady 988/2, Staré Brno, 602 00 Brno, identifikační číslo: 08237841, zapsané v obchodním rejstříku vedeném Krajským soudem v Brně, oddíl C, vložka 112621 (dále jen „prodávající“) upravují v souladu s ustanovením § 1751 odst. 1 zákona č. 89/2012 Sb., občanský zákoník (dále jen „občanský zákoník“) vzájemná práva a povinnosti smluvních stran vzniklé v souvislosti nebo na základě kupní smlouvy (dále jen „kupní smlouva“) uzavírané mezi prodávajícím a jinou fyzickou osobou (dále jen „kupující“) prostřednictvím internetového obchodu prodávajícího. Internetový obchod je prodávajícím provozován na webové stránce umístěné na internetové adrese https://ottodiy.ecwid.com/ (dále jen „webová stránka“), a to prostřednictvím rozhraní webové stránky (dále jen „webové rozhraní obchodu“).
1.2. Obchodní podmínky se nevztahují na případy, kdy osoba, která má v úmyslu nakoupit zboží od prodávajícího, je právnickou osobou či osobou, jež jedná při objednávání zboží v rámci své podnikatelské činnosti nebo v rámci svého samostatného výkonu povolání.
1.3. Ustanovení odchylná od obchodních podmínek je možné sjednat v kupní smlouvě, která je uzavírána formou komunikace na dálku (formou objednávky a jejího potvrzení) v anglickém jazyce. Odchylná ujednání v kupní smlouvě mají přednost před ustanoveními obchodních podmínek.
1.4. Ustanovení obchodních podmínek jsou nedílnou součástí kupní smlouvy. Internetový obchod na webové stránce je veden v anglickém jazyce. Tyto obchodní podmínky jsou vypracovány a na webové stránce dostupné jak v anglickém, tak českém jazyce, přičemž v případě rozdílnosti jazykových verzí má přednost česká verze.
1.5. Znění obchodních podmínek může prodávající měnit či doplňovat. Tímto ustanovením nejsou dotčena práva a povinnosti vzniklá po dobu účinnosti předchozího znění obchodních podmínek.

2. UZAVŘENÍ KUPNÍ SMLOUVY
2.1. Veškerá prezentace zboží umístěná ve webovém rozhraní obchodu je informativního charakteru a prodávající není povinen uzavřít kupní smlouvu ohledně tohoto zboží. Ustanovení § 1732 odst. 2 občanského zákoníku se nepoužije.
2.2. Webové rozhraní obchodu obsahuje informace o zboží, a to včetně uvedení kupní ceny konkrétního zboží a nákladů spojených s balením a přepravou zboží (náklady spojené s balením a přepravou zboží se odvíjí od váhy zboží, doručovací adresy kupujícího a typu zvolené přepravy). V konečné ceně, která je kupujícímu vygenerována na webové stránce po uložení vybraného zboží do košíku a zvolení požadované dopravynení zahrnuto clo, DPH, případně jiné daňové zatížení dle právních předpisů země doručení, které je třeba uhradit v souvislosti s dovozem zboží do země doručení, a které je kupující povinen nést nad rámec konečné ceny (konečná cena ve smyslu tohoto ustanovení dále také jen: „Konečná cena“).
2.3. Kupní cena zboží zůstává v platnosti po dobu, kdy je zobrazována ve webovém rozhraní obchodu. Tímto ustanovením není omezena možnost prodávajícího uzavřít kupní smlouvu za individuálně sjednaných podmínek.
2.4. Pro objednání zboží vyplní kupující objednávku (návrh na uzavření smlouvy - nabídku) ve formě formuláře přístupného ve webovém rozhraní obchodu. Objednávkový formulář obsahuje následující informace:
2.4.1. specifikace předmětu kupní smlouvy - objednávaného zboží (objednávané zboží „vloží“ kupující do elektronického nákupního košíku webového rozhraní obchodu),
2.4.2. celé jméno kupujícího (jméno a příjmení, případně titul),
2.4.3. e-mailová adresa kupujícího (nezbytné pro zaslání potvrzení objednávky a případnou následnou komunikaci smluvních stran), tato dále také jen: „elektronická adresa kupujícího“,
2.4.4. telefonní číslo kupujícího (nezbytné při doručování zboží a kontaktu na celnici při vstupu zboží do země určení – země doručení),
2.4.5. doručovací adresa (ulice a číslo popisné, PSČ, město a stát - tj. země určení/země doručení),
2.4.6. způsob úhrady kupní ceny zboží, která je možná pouze bezhotovostně platební bránou,
2.4.7. údaje o požadovaném způsobu doručení objednávaného zboží,
2.4.8. informace o nákladech spojených s dodáním zboží,
2.4.9. poznámka kupujícího (fakultativní),
(dále společně jen jako „objednávka“).
2.5. Na platební bránu, prostřednictvím které je třeba uhradit Konečnou cenu,je kupující přesměrován před odesláním objednávky.
2.6. Objednávku může kupující prodávajícímu odeslat (tj. webová stránka její odeslání umožní) až při kumulativním splnění následujících podmínek:
2.6.1. po vyplnění veškerých políček v objednávkovém formuláři, s výjimkou políčka na poznámku, jehož vyplnění je fakultativní
2.6.2. po odeslání Konečné ceny přes platební bránu.
2.7. Kupující je odpovědný za správnost a úplnost poskytnutých údajů; kupujícím poskytnuté údaje prodávající nijak neověřuje a považuje je za správné. V případě chybného zadání údajů v objednávkovém formuláři nebo změny údajů po vyplnění objednávkového formuláře před doručením zboží je kupující povinen bezodkladně informovat prodávajícího.
2.8. Webové rozhraní obchodu umožňuje, aby kupující prováděl objednávání zboží bez registrace přímo z webového rozhraní obchodu.
2.9. Před odesláním objednávky prodávajícímu je kupujícímu umožněno kontrolovat a měnit údaje, které do objednávky kupující vložil, a to i s ohledem na možnost kupujícího zjišťovat a opravovat chyby vzniklé při zadávání dat do objednávky.
2.10. Objednávku odešle kupující prodávajícímu kliknutím na tlačítko „Place Order“.
2.11. Neprodleně po obdržení objednávky je její obdržení prodávajícím automaticky potvrzeno elektronickou poštou, a to na adresu elektronické pošty kupujícího. Okamžikem, kdy je kupujícímu doručen potvrzující e-mail ze strany prodávajícího (tj. okamžikem potvrzení objednávky ze strany prodávajícího) je uzavřena kupní smlouva, jejíž obsah je určen objednávkou a těmito všeobecnými obchodními podmínkami.
2.12. Uvede-li kupující do kolonky poznámka v objednávkovém formuláři svůj požadavek na změnu obsahu kupní smlouvy (odchylku od těchto obchodních podmínek nebo přednastaveného textu objednávkového formuláře - např. požadavek na jiný způsob dopravy, apod.), je kupní smlouva uzavřena nikoli již automatickým potvrzujícím e-mailem ve smyslu předchozího odstavce (čl. 2.11), ale až v okamžiku, kdy prodávající odpoví na poznámku kupujícího tak, že jeho požadavek (odchylku od těchto obchodních podmínek nebo standardní formulářové objednávky) výslovně potvrdí. Nepotvrdí-li prodávající požadavek kupujícího (například proto, že poznámka byla formulována jako otázka, na kterou prodávající teprve odpovídá), je kupní smlouva uzavřena až okamžikem, kdy z komunikace mezi smluvními stranami vyplyne, že se na náležitostech kupní smlouvy (vč. této sporné záležitosti řešené formou poznámky) dohodli. Nedohodnou-li se smluvní strany na obsahu kupní smlouvy v přiměřené lhůtě po odeslání objednávky ze strany kupujícího, platí, že kupní smlouva nebyla uzavřena a prodávající je povinen přijaté peněžní prostředky odpovídající Konečné kupní ceně (které byly kupujícím odeslány prostřednictvím platební brány před odesláním objednávky) vrátit zpět kupujícímu; k realizaci zpětného převodu peněžních prostředků je kupující povinen poskytnout prodávajícímu potřebnou součinnost.
2.13. Náklady vzniklé kupujícímu při použití komunikačních prostředků na dálku v souvislosti s uzavřením kupní smlouvy (náklady na internetové připojení, náklady na telefonní hovory) si hradí kupující sám, přičemž tyto náklady se neliší od základní sazby.

3. CENA ZBOŽÍ A PLATEBNÍ PODMÍNKY
3.1. Konečnou cenu zboží (tj. kupní cenu a náklady spojené s balením a dodáním zboží) může kupující uhradit prodávajícímu pouze bezhotovostně prostřednictvím platebního systému Mollie (platební brány).
3.2. Prodávající požaduje odeslání celé Konečné kupní ceny před odesláním objednávky a její uhrazení (tj. připsání na bankovní účet prodávajícího) ještě před odesláním zboží kupujícímu. Ustanovení § 2119 odst. 1 občanského zákoníku se nepoužije.
3.3. Případné slevy z ceny zboží poskytnuté prodávajícím kupujícímu nelze vzájemně kombinovat.
3.4. Je-li to v obchodním styku obvyklé nebo je-li tak stanoveno obecně závaznými právními předpisy, vystaví prodávající ohledně plateb prováděných na základě kupní smlouvy kupujícímu fakturu. Prodávající není plátcem daně z přidané hodnoty. Fakturu vystaví prodávající kupujícímu po uhrazení ceny zboží a zašle jej v elektronické podobě na elektronickou adresu kupujícího.
3.5. Vrácení Konečné kupní ceny při neuzavření kupní smlouvy - viz čl. 2.12 těchto obchodních podmínek.
3.6. Vrácení Konečné kupní ceny při odstoupení od smlouvy - viz čl. V. těchto obchodních podmínek.

4. PŘEPRAVA A DODÁNÍ ZBOŽÍ
4.1. Prodávající je právnickou osobou českého práva založenou v České republice, která je členským státem Evropské unie. Sídlo prodávajícího je v České republice. Vzhledem k tomu, že zboží je pro prodávajícího vyráběno v Čínské lidové republice, bere kupující na vědomí, že s cílem dosáhnout pokud možno co nejnižšího zatížení kupujícího náklady na dopravu, clem, DPH či jinou daňovou povinností, zboží mu bude na v objednávce specifikovanou dodací adresu doručeno přímo z Čínské lidové republiky (od dodavatele prodávajícího). Doručení zboží proběhne způsobem, který si kupující v objednávce zvolil, nebo které bylo jinak dohodnuto s prodávajícím.
4.2. Při vstupu zboží do země určení - země doručení může být zboží zatíženo (dle vlastních předpisů země doručení) clem, DPH či jinou daňovou povinností, které nejsou zahrnuty v Konečné ceně. Kupující se zavazuje tyto další náklady (tj. clo, DPH či jinou daňovou povinnost) uhradit při vstupu zboží do země určení. V případě neposkytnutí součinnosti se vstupem zboží do země určení nebo neuhrazení cla, DPH nebo jiné daňové povinnosti při vstupu zboží do země určení dle vlastních předpisů této země se kupující zavazuje uhradit prodávajícímu škodu tím vzniklou.
4.3. V případě, že je způsob dopravy smluven na základě zvláštního požadavku kupujícího, nese kupující riziko a případné dodatečné náklady spojené s tímto způsobem dopravy.
4.4. V případě, že je z důvodů na straně kupujícího nutno zboží doručovat opakovaně nebo jiným způsobem, než bylo uvedeno v objednávce, je kupující povinen uhradit náklady spojené s opakovaným doručováním zboží, resp. náklady spojené s jiným způsobem doručení.
4.5. Při vstupu zboží do země určení bude kupující kontaktován na telefonním čísle, které sdělil prodávajícímu v objednávce, k poskytnutí součinnosti ve smyslu čl. 4.2.
4.6. Při převzetí zboží je kupující povinen zkontrolovat neporušenost obalů zboží a v případě jakýchkoliv závad toto neprodleně oznámit přepravci. V případě shledání porušení obalu svědčícího o neoprávněném vniknutí do zásilky nemusí kupující zásilku od přepravce převzít.
4.7. Prodávající se zavazuje zajistit odeslání zboží kupujícímu po uhrazení Konečné ceny ze strany kupujícího v nejbližším možném termínu. Dodací lhůta, pokud je u zboží uvedena, má pouze informativní charakter a není pro prodávajícího závazná.
4.8. Prodávající nenese odpovědnost za škody způsobené zpožděním odeslání nebo doručení zboží z jakéhokoli důvodu.
4.9. Další práva a povinnosti stran při přepravě zboží mohou upravit zvláštní dodací podmínky prodávajícího, jsou-li prodávajícím vydány.

5. ODSTOUPENÍ OD KUPNÍ SMLOUVY
5.1. Kupující bere na vědomí, že dle ustanovení § 1837 občanského zákoníku, nelze mimo jiné odstoupit od kupní smlouvy o dodávce zboží, které bylo upraveno podle přání kupujícího nebo pro jeho osobu, od kupní smlouvy o dodávce zboží, které podléhá rychlé zkáze, jakož i zboží, které bylo po dodání nenávratně smíseno s jiným zbožím, od kupní smlouvy o dodávce zboží v uzavřeném obalu, které spotřebitel z obalu vyňal a z hygienických důvodů jej není možné vrátit a od kupní smlouvy o dodávce zvukové nebo obrazové nahrávky nebo počítačového programu, pokud porušil jejich původní obal.
5.2. Nejedná-li se o případ uvedený v čl. 5.1 obchodních podmínek či o jiný případ, kdy nelze od kupní smlouvy odstoupit, má kupující v souladu s ustanovením § 1829 odst. 1 občanského zákoníku právo od kupní smlouvy odstoupit, a to do čtrnácti (14) dnů od převzetí zboží, přičemž v případě, že předmětem kupní smlouvy je několik druhů zboží nebo dodání několika částí, běží tato lhůta ode dne převzetí poslední dodávky zboží. Odstoupení od kupní smlouvy musí být prodávajícímu odesláno ve lhůtě uvedené v předchozí větě. Pro odstoupení od kupní smlouvy může kupující využit vzorový formulář poskytovaný prodávajícím, jenž tvoří přílohu obchodních podmínek. Odstoupení od kupní smlouvy může kupující zaslat prodávajícímu v listinné podobě nebo na adresu elektronické pošty prodávajícího tereza@ottodiy.com.
5.3. V případě odstoupení od kupní smlouvy se kupní smlouva od počátku ruší.Zboží musí být kupujícím prodávajícímu navráceno do čtrnácti (14) dnů od doručení odstoupení od kupní smlouvy prodávajícímu. Odstoupí-li kupující od kupní smlouvy, nese kupující náklady spojené s navrácením zboží prodávajícímu, a to i v tom případě, kdy zboží nemůže být vráceno pro svou povahu obvyklou poštovní cestou. Náklady spojené s navrácením zboží prodávajícímu (tj. jeho zasláním do sídla prodávajícího) mohou zahrnovat DPH a clo, je-li zboží zasíláno ze země, která není členským státem Evropské Unie (EU), případně Evropského hospodářského prostoru (EHP).
5.4. Pro vyloučení pochybností prodávající výslovně deklaruje, že právní jednání obsahující odstoupení od smlouvy, stejně jako vracené zboží, je kupující povinen odeslat prodávajícímu na jeho adresu sídla/e-mailovou adresu.
5.5. V případě odstoupení od kupní smlouvy zašle prodávající kupujícímu peněžní prostředky, které od kupujícího přijal, do čtrnácti (14) dnů od odstoupení od kupní smlouvy kupujícím, a to způsobem, jakým je přijal. Prodávající není povinen vrátit přijaté peněžní prostředky kupujícímu dříve, než mu kupující zboží vrátí nebo prokáže, že zboží prodávajícímu odeslal.
5.6. Nárok na úhradu škody vzniklé na zboží je prodávající oprávněn jednostranně započíst proti nároku kupujícího na vrácení prostředků, které je povinen kupujícímu v souvislosti s odstoupením od smlouvy vrátit.
5.7. V případech, kdy má kupující v souladu s ustanovením § 1829 odst. 1 občanského zákoníku právo od kupní smlouvy odstoupit, je prodávající také oprávněn kdykoliv od kupní smlouvy odstoupit, a to až do doby převzetí zboží kupujícím. Ustanovení čl. 5.5 se užije obdobně.
5.8. Je-li společně se zbožím poskytnut kupujícímu dárek, je darovací smlouva mezi prodávajícím a kupujícím uzavřena s rozvazovací podmínkou, že dojde-li k odstoupení od kupní smlouvy kupujícím, pozbývá darovací smlouva ohledně takového dárku účinnosti a kupující je povinen spolu se zbožím prodávajícímu vrátit i poskytnutý dárek.

6. PRÁVA Z VADNÉHO PLNĚNÍ
6.1. Práva a povinnosti smluvních stran ohledně práv z vadného plnění se řídí příslušnými obecně závaznými předpisy (zejména ustanoveními § 1914 až 1925, § 2099 až 2117 a § 2161 až 2174 občanského zákoníku).
6.2. Prodávající odpovídá kupujícímu, že zboží při převzetí nemá vady. Zejména prodávající odpovídá kupujícímu, že v době, kdy kupující zboží převzal:
6.2.1. má zboží vlastnosti, které si strany ujednaly, a chybí-li ujednání, má takové vlastnosti, které prodávající nebo výrobce popsal nebo které kupující očekával s ohledem na povahu zboží a na základě reklamy jimi prováděné,
6.2.2. se zboží hodí k účelu, který pro jeho použití prodávající uvádí nebo ke kterému se zboží tohoto druhu obvykle používá,
6.2.3. zboží odpovídá jakostí nebo provedením smluvenému vzorku nebo předloze, byla-li jakost nebo provedení určeno podle smluveného vzorku nebo předlohy,
6.2.4. je zboží v odpovídajícím množství, míře nebo hmotnosti a
6.2.5. zboží vyhovuje požadavkům právních předpisů.
6.3. Ustanovení uvedená v čl. 6.2 obchodních podmínek se nepoužijí u zboží prodávaného za nižší cenu na vadu, pro kterou byla nižší cena ujednána, na opotřebení zboží způsobené jeho obvyklým užíváním, u použitého zboží na vadu odpovídající míře používání nebo opotřebení, kterou zboží mělo při převzetí kupujícím, nebo vyplývá-li to z povahy zboží.
6.4. Kupující je oprávněn uplatnit právo z vady zboží, která se vyskytne v době do 24 měsíců od převzetí zboží. Projeví-li se vada v průběhu šesti měsíců od převzetí, má se za to, že zboží bylo vadné již při převzetí.
6.5. Kupující má povinnost oznámit, že zboží má vadu, bez zbytečného odkladu poté, co vadu zjistí nebo co vadu mohl zjistit.
6.6. Krom povinnosti oznámit vadu prodávajícímu má kupující rovněž povinnost zvolit příslušný nárok z vady. Oznámit volbu nároku z vady je kupující povinen spolu s oznámením, že věc je vadná, nebo bez zbytečného odkladu po oznámení vady.
6.7. Kupující má nároky z vadného plnění dle toho, zda je vadné plnění podstatným porušením kupní smlouvy nebo nepodstatným porušením kupní smlouvy. Je-li vadné zboží podstatným porušením kupní smlouvy, může kupující dle své volby požadovat odstranění vady dodáním nového zboží bez vady, dodáním chybějícího zboží, odstranění vady opravou zboží, přiměřenou slevu z kupní ceny, nebo od kupní smlouvy odstoupit. Neodstraní-li prodávající vady v přiměřené lhůtě či oznámí-li kupujícímu, že vady neodstraní, může kupující požadovat místo odstranění vady přiměřenou slevu z kupní ceny nebo může od smlouvy odstoupit.Je-li vadné zboží nepodstatným porušením smlouvy, pak má kupující právo na odstranění vady anebo na přiměřenou slevu z kupní ceny. Pouze tato práva má kupující rovněž v případě, že si nezvolí své právo (poté co byl řádně informován prodávajícím) dle § 2106 občanského zákoníku (při podstatném porušení smlouvy) včas.
6.8. Nemá-li zboží vlastnosti vymíněné kupujícím nebo vlastnosti ujednané, může kupující požadovat i dodání nového zboží bez vad, to však jen tehdy, pokud to není vzhledem k povaze vady nepřiměřené; pokud se ale vada týká pouze součásti věci (zboží), může kupující požadovat jen výměnu součásti; není-li to možné, může odstoupit od smlouvy. Je-li to však vzhledem k povaze vady neúměrné, zejména lze-li vadu odstranit bez zbytečného odkladu, má kupující právo na bezplatné odstranění vady. Právo na dodání nové věci, nebo výměnu součásti má kupující i v případě odstranitelné vady, pokud nemůže zboží řádně užívat pro opakovaný výskyt vady po opravě nebo pro větší počet vad. V takovém případě má kupující i právo od smlouvy odstoupit. Neodstoupí-li kupující od smlouvy nebo neuplatní-li právo na dodání nového zboží bez vad, na výměnu jeho součásti nebo na opravu věci, může požadovat přiměřenou slevu. Kupující má právo na přiměřenou slevu i v případě, že mu prodávající nemůže dodat nové zboží bez vad, vyměnit jeho součást nebo zboží opravit, jakož i v případě, že prodávající nezjedná nápravu v přiměřené době nebo že by zjednání nápravy kupujícímu působilo značné obtíže.
6.9. Právo z vadného plnění kupujícímu nenáleží, pokud kupující před převzetím zboží věděl o vadě anebo pokud vadu sám způsobil.
6.10. Reklamace musí být vyřízena nejpozději do třiceti (30) dnů ode dne jejího uplatnění. Je-li k vyřízení reklamace třeba doručit zboží prodávajícímu, běží lhůta ode dne doručení tohoto zboží.
6.11. Vadu kupující oznamuje, stejně jako svá práva z vadného plnění kupující uplatňuje u prodávajícího na emailové adrese tereza@ottodiy.com.Na této e-mailové adrese může kupující prodávajícího kontaktovat rovněž v případě, že neví, jaké právo z vady má (může) uplatnit nebo jak při reklamaci postupovat - prostřednictvím této e-mailové adresy pak bude sjednán další postup ve věci.

7. DALŠÍ PRÁVA A POVINNOSTI SMLUVNÍCH STRAN
7.1. Kupující nabývá vlastnictví ke zboží úplným zaplacením kupní ceny zboží.
7.2. Prodávající není ve vztahu ke kupujícímu vázán žádnými kodexy chování ve smyslu ustanovení § 1826 odst. 1 písm. e) občanského zákoníku.
7.3. Vyřizování stížností spotřebitelů zajišťuje prodávající prostřednictvím elektronické adresy tereza@ottodiy.com. Informaci o vyřízení stížnosti kupujícího zašle prodávající na elektronickou adresu kupujícího.
7.4. K mimosoudnímu řešení spotřebitelských sporů z kupní smlouvy je příslušná Česká obchodní inspekce, se sídlem Štěpánská 567/15, 120 00 Praha 2, IČ: 000 20 869, internetová adresa: https://adr.coi.cz/cs. Platformu pro řešení sporů on-line nacházející se na internetové adrese http://ec.europa.eu/consumers/odr je možné využít při řešení sporů mezi prodávajícím a kupujícím z kupní smlouvy.
7.5. Evropské spotřebitelské centrum Česká republika, se sídlem Štěpánská 567/15, 120 00 Praha 2, internetová adresa: http://www.evropskyspotrebitel.cz je kontaktním místem podle Nařízení Evropského parlamentu a Rady (EU) č. 524/2013 ze dne 21. května 2013 o řešení spotřebitelských sporů on-line a o změně nařízení (ES) č. 2006/2004 a směrnice 2009/22/ES (nařízení o řešení spotřebitelských sporů on-line).
7.6. Prodávající je oprávněn k prodeji zboží na základě živnostenského oprávnění. Živnostenskou kontrolu provádí v rámci své působnosti příslušný živnostenský úřad. Dozor nad oblastí ochrany osobních údajů vykonává Úřad pro ochranu osobních údajů. Česká obchodní inspekce vykonává ve vymezeném rozsahu mimo jiné dozor nad dodržováním zákona č. 634/1992 Sb., o ochraně spotřebitele, ve znění pozdějších předpisů.
7.7. Kupující tímto přebírá na sebe nebezpečí změny okolností ve smyslu § 1765 odst. 2 občanského zákoníku.

8. OCHRANA OSOBNÍCH ÚDAJŮ
8.1. Problematika ochrany osobních údajů je řešena v samostatném dokumentu nazvaném Zásady ochrany osobních údajů publikovaném na webové stránce prodávajícího.

9. ZASÍLÁNÍ OBCHODNÍCH SDĚLENÍ A UKLÁDÁNÍ COOKIES
9.1. Prodávající nebude zasílat kupujícímu žádná obchodní sdělení.
9.2. Kupující souhlasí s ukládáním tzv. cookies na jeho počítač. V případě, že je nákup na webové stránce možné provést a závazky prodávajícíhoz kupní smlouvy plnit, aniž by docházelo k ukládání tzv. cookies na počítač kupujícího, může kupující souhlas podle předchozí věty kdykoliv odvolat.

10. DORUČOVÁNÍ
10.1. Oznámení týkající se vztahů prodávajícího a kupujícího,zejména týkající odstoupení od kupní smlouvy, musí být doručena v listinné podobě nebo elektronickou poštou, není-li v kupní smlouvě stanoveno jinak. Oznámení se považují za doručené a účinné okamžikem jejich dodání prostřednictvím pošty, s výjimkou oznámení o odstoupení od smlouvy učiněného kupujícím, kdy je odstoupení účinné, pokud je oznámení kupujícím ve lhůtě pro odstoupení odesláno.
10.2. Smluvní strany můžou běžnou korespondenci vzájemně doručovat v listinné podobě nebo prostřednictvím elektronické pošty, a to na adresu elektronické pošty uvedenou kupujícím v objednávce, resp. na adresu uvedenou na webové stránce prodávajícího.

11. ZÁVĚREČNÁ USTANOVENÍ
11.1. Pokud vztah založený kupní smlouvou obsahuje mezinárodní (zahraniční) prvek, pak strany sjednávají, že vztah se řídí českým právem. Tímto nejsou dotčena práva spotřebitele vyplývající z obecně závazných právních předpisů.
11.2. Co není upraveno kupní smlouvou nebo těmito obchodními podmínkami, řídí se podpůrně českým zákonem č. 89/2012 Sb., občanský zákoník, v platném znění. Překlad tohoto zákona (občanského zákoníku) lze nalézt například na webové stránce: http://obcanskyzakonik.justice.cz/images/pdf/Civil... . V případě rozdílnosti české a anglické verze občanského zákoníku má přednost jeho znění v českém jazyce.
11.3. Prodávající a kupující uzavírají prorogační dohodu (dohodu o volbě soudu), přičemž za pravomocný (mezinárodně příslušný) smluvní strany volí český soud.
11.4. Je-li některé ustanovení obchodních podmínek neplatné nebo neúčinné, nebo se takovým stane, namísto neplatných ustanovení nastoupí ustanovení, jehož smysl se neplatnému ustanovení co nejvíce přibližuje. Neplatností nebo neúčinností jednoho ustanovení není dotknutá platnost ostatních ustanovení.
11.5. Změny a doplňky kupní smlouvy či obchodních podmínek vyžadují písemnou formu.
11.6. Kupní smlouva včetně obchodních podmínek je archivována prodávajícím v elektronické podobě a není veřejně ani kupujícímu přístupná.
11.7. Přílohu obchodních podmínek tvoří vzorový formulář pro odstoupení od kupní smlouvy.

(hereinafter the „Company“)

is the controller of the personal data of the data subjects, i.e. the body which determines the purposes and means of the processing of personal data of the data subjects.

2. Data subjects are understood in the sense of the Article 4 Paragraph 1 of the Regulation as the persons whose personal data are processed. These data subjects are namely:

customers making a purchase via the e-shop of the Company,

hereinafter „Customers“ or „Personal Data Subjects“.

3. The Company processes the following personal data of the Personal Data Subjects (Customers):

a) name and surname
b) address (shipping and/or billing),
c) identification number
d) tax identification number
e) phone number
f) e-mail address
g) bank account number.

4. The Data Subject is obliged to transmit their personal data specified in Paragraph 3 letters a), b), e) and f), without transmitting this personal data it is not possible to send the electronic order on the website of the Controller (and therefore conclude the Purchase Agreement for goods), nor is it possible to conclude a Purchase Agreement with the Controller individually (outside of the electronic order). Personal Data specified in Paragraph 3 letters c) and d) have to be transmitted only by the Data Subject acting in the course of their business (as an entrepreneur). Personal Data specified in Paragraph 3 letter g) has to be transmitted by the Data Subject only if it is necessary for a payment refund from the Controller; if the Data Subject pays via bank transfer, the Controller shall receive the information about the bank account number of the Data Subject from their bank statement.

5. The reason and legal basis for the processing of Personal Data of the Personal Data Subjects are:
Article 6 Paragraph 1 Letter b) of the GDPR, namely that processing is necessary for the performance of a contract to which the data subject is party or in order to take steps at the request of the data subject prior to entering into a contract.
- this applies to the personal data specified in Article 3 Letters a), b), c), e), f) and g)

Processing of the data specified in Article 3 Letters a), b) and c) is necessary because these are basic data of the Data Subject, without which the subject cannot be identified and the ordered goods cannot be delivered.

Processing of the data specified in Article 3 Letter e) (phone number) is necessary contact information for the customs authorities of the Data Subject, who may use the data to contact the Data Subject and communicate with them about the clearance of the goods when entering the country of destination. The data is transmitted to these authorities by the carrier of the goods, to whom the data is transmitted by the supplier of the goods in the People’s Republic of China (PRC). This data is necessary also for the Controller, for the supplier of the goods in PRC and for the carrier with the purpose of necessary communication regarding the transportation of the goods.

Processing of the data specified in Article 3 Letter f) (e-mail address) is necessary contact information for the purpose of communication between the Controller (Seller) and the Data Subject (Buyer). E-mail serves as means of distance communication for concluding the Purchase Agreement and for further legal actions or related communication between the Controller (Seller) and the Data Subject (Buyer).

Processing of the data specified in Article 3 Letter g) (bank account number) is necessary contact information if it is necessary to refund the payment received by the Controller back to the Data Subject.

Article 6 Paragraph 1 Letter c) of the GDPR, namely that processing is necessary for compliance with a legal obligation to which the controller is subject, namely for the purposes of processing and keeping accounts/tax records.
- this applies to the personal data specified in Paragraph 3 Letters a), b), c) and d).

6. The personal data of the Personal Data Subject shall be processed by the Company for the period of time necessary for exercising of rights and obligations resulting from the contractual relationship between the Company and the Personal Data Subject and for making claims based on such contractual relationship and further for 10 years after the termination of the contractual relationship. The Controller shall delete the personal data upon expiry of the retention period.

7. The personal data specified in Paragraph 3 Letters a), b) and e) shall be transferred to the supplier of the Controller in PRC, for which the Commission has not issued a decision about an adequate level of personal data protection according to the Article 45 of the GDPR. The transfer of the personal data is therefore based on a derogation in the sense of the provisions of Article 49 Paragraph 1 Letter b) of the GDPR, according to which the transfer is necessary for the performance of a contract between the data subject and the controller.

8. At present time the Company does not have any employees and the personal data is therefore processed directly by the statutory body of the Company and by the associates of the Company. If the Company has employees in the future and if these employees have access to the personal data due to the scope of their work, they will be bound by the obligation of secrecy to the Company.

9. Apart from the Data Subjects themselves, their personal data may further be transmitted to:

the Controller’s supplier in PRC, who is responsible for the shipment of the goods from PRC to the customers (this supplier only receives the data specified in Paragraph 3 Letters a), b) and e)),
the carrier of the goods ordered by the Data Subject (who only receives the data specified in Paragraph 3 Letters a), b) and e)),
public authorities of the country of destination (especially the customs authorities),
external accountant of the Company (billing information),
lawyer of the Company,
public authorities (court, law enforcement and criminal justice etc.),
distrainor or insolvency administrator.

10. Personal data of the Personal Data Subject are obtained directly from the Personal Data Subject.

11. Personal Data Subject shall have the right to access the personal data within the meaning of Article 15 of the Regulation. This includes the right to obtain from the Company confirmation as to whether or not personal data concerning him or her are being processed, and, where that is the case, access to the personal data and the following information:

list of personal data that are being processed,
the purposes of the processing of this personal data,
the recipients or categories of recipient to whom the personal data have been or will be disclosed,
where the personal data are not collected from the data subject, any available information as to their source,
the envisaged period for which the personal data will be processed or the criteria used to determine that period,
the existence of the right to request from the Company rectification/completion of the personal data within the meaning of Article 16 of the Regulation, the right to request erasure of the personal data (right to be forgotten) within the meaning of Article 17 of the Regulation, the right to restriction of processing of the personal data within the meaning of Article 18 of the Regulation, the right to object to processing of personal data within the meaning of Article 21 of the Regulation, the right to data portability within the meaning of Article 20 of the Regulation, the right to lodge a complaint with a supervisory authority within the meaning of Article 77 of the regulation and the right to a judicial remedy of the personal data subject within the meaning of Articles 78 and 79 of the Regulation.

The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.

The Company is obliged to respond in written form to requests from the Data Subject within the meaning of this Article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.

Where the Data Subject requests, the Company is obliged to issue him or her a copy of the personal data being processed, primarily in electronic form. Where the Personal Data Subject requests a copy in paper form, or where he or she does not provide to the Company an e-mail address for this purpose, the Company shall provide a copy in paper form. The Company charges an administrative fee of 0.2 EUR per paper for issuing a copy in paper form.

12. The Personal Data Subject has the right to request from the Company the rectification or completion of personal data within the meaning of Article 16 of the Regulation:

- by phone on the phone number specified in Article 1,
- on the e-mail address specified in Article 1,
- in paper form on the residing address of the Company.

Where the Personal Data Subject requests from the Company a reaction in witten form, he or she is obliged to send the request for exercising the right under this article in written form (to the e-mail address of the Company or in paper form - see above). The Company shall perform the rectification or completion and shall send to the e-mail address of the Personal Data Subject, from which the request has been sent, a confirmation of the rectification/completion. Where the Personal Data Subject sends the request in paper form and requests sending the information under this Article in paper form (or where he or she does not provide a contact e-mail address where the information under this Article can be sent in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.

The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.


13. Personal Data Subject has the right to request from the Company erasure of his or her personal data (right to be forgotten) within the meaning of Article 17 of the Regulation, only if:

the personal data are no longer necessary in relation to the purposes for which they are processed,
there is no legal ground for the processing of the data,
the personal data have been unlawfully processed,
the personal data have to be erased for compliance with a legal obligation.

Even when fulfilling the conditions specified above, the Personal Data Subject does not have the right to erasure of personal data when the processing is necessary:

for exercising the right of freedom of expression and information,
for compliance with a legal obligation under valid and effective legal regulations or for the performance of a task carried out in the public interest or in the exercise of official authority,
for archiving purposes in the public interest, scientific or historical research purposes or statistical purposes,
for reasons of public interest in the area of public health,
for the establishment, exercise or defence of legal claims.

The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.

The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.

14. Personal Data Subject has the right to request from the Company restriction of processing of his or her personal data within the meaning of Article 18 of the Regulation, only if:

the accuracy of the personal data is contested by the data subject, for a period enabling the Company to verify the accuracy of the personal data; this personal data shall for the time of restriction of processing be processed only within the meaning of storing for the establishment, exercise or defence of legal claims, for reasons of important public interest, for the protection of the rights of another natural or legal person or with the Personal Data Subject’s consent.
the processing is unlawful and the personal data subject does not want to exercise the right to be forgotten within the meaning of Article 17 of the Regulation and request the restriction instead
the Company no longer needs the personal data of the Personal Data Subject for the purposes of the processing, but they are required by the Data Subject for the establishment, exercise or defence of legal claims.

Where the Personal Data Subject exercises this right, the Company is obliged to inform him or her that the restriction of processing shall be lifted before it is lifted.

The Company is obliged to inform each recipient to whom the personal data of the Personal Data Subject has been disclosed about any rectification, erasure or restriction of processing of the personal data.

The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.

The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.


15. The Personal Data Subject shall have the right to data portability within the meaning of Article 20 of the Regulation, which includes the right to receive the personal data concerning him or her, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller where the processing is carried out by automated means. Where technically feasible, the data subject shall have the right to request the Company to transmit those personal data directly to another controller.

The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.

The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.

16. Where the Company does not take the measures requested by the Personal Data Subject, the Company is obliged to inform the Personal Data Subject about the reasons at the latest within one month since the day of receiving the request.

17. The Personal Data Subject shall have the right to lodge a complaint with a data protection authority within the meaning of Article 77 of the Regulation if he or she thinks that processing of his or her personal data lead to an infringement of the Regulation. The personal data subject shall have the right to an effective judicial remedy against a legally binding decision of the data protection authority or where the authority does not process the complaint and does not inform the Personal Data Subject about the processing of the complaint within three months since the day of lodging the complaint.

18. Personal Data Subject shall have the right to judicial remedy against the data protection authority and the Company as the controller of personal data. Further information about exercising the right to judicial remedy are specified in Articles 78 and 79 of the Regulation.

19. Where a personal data protection breach is likely to result in a high risk to the rights and freedoms of the Personal Data Subject (with the exception of cases where Article 34 of the GDPR regulation does not require the Company to undergo this process), the Company is obliged to notify the supervisory authority of any personal data breach without undue delay and not later than 72 hours after having become aware of it. Where the notification to the supervisory authority is not made within 72 hours, it shall be accompanied by reasons for the delay. The rule concerning the obligation to notify the supervisory authority of the data breach shall not be used if the breach is unlikely to result in a risk to the rights and freedoms of the Data Subjects. The notification to the data protection authority has to contain the essential information specified in Article 33 of the GDPR Regulation.

je správcem osobních údajů subjektů údajů, tedy subjektem, jenž určuje účely a prostředky zpracování osobních údajů subjektu údajů.

2. Subjekty údajů se rozumí ve smyslu čl. 4 odst. 1 Nařízení osoby, jejichž osobní údaje jsou zpracovávány. Těmito subjekty údajů jsou:

zákazníci nakupující prostřednictvím e-shopu Společnosti,

tito dále také jen „zákazníci“ nebo „subjekty osobních údajů“.

3. Společnost zpracovává následující osobní údaje subjektů osobních údajů (zákazníků):

a) jméno a příjmení, případně titul,
b) adresa (dodací a/nebo fakturační),
c) IČO,
d) DIČ,
e) telefonní číslo,
f) e-mailová adresa,
g) bankovní účet.

4. Subjekt údajů má povinnost předat osobní údaje v odst. 3 písm. a), b), e) f); bez předání těchto osobních údajů není možné odeslat elektronickou objednávku na webových stránkách správce (a tedy dosáhnout uzavření kupní smlouvy na zboží), ani uzavřít kupní smlouvu se správcem individuálně (mimo elektronickou objednávku). Osobní údaje v odst. 3 písm. c), d); je povinen poskytnout pouze subjekt údajů, který vystupuje v rámci svého podnikání (jako podnikatel). Osobní údaj v odst. 3 písm. g) je povinen subjekt údajů předat, jen je-li to nezbytné pro vrácení platby ze strany správce údajů; platí-li subjekt údajů převodem z účtu, získá správce údajů informaci o čísle bankovního účtu subjektu údajů z výpisu svého bankovního účtu.

5. Účelem a právním základem pro zpracování osobních údajů subjektů osobních údajůje:

čl. 6 odst. 1 písm. b) GDPR, tedy že zpracování je nezbytné pro plnění smlouvy, jejíž smluvní stranou je subjekt údajů, nebo pro provedení opatření přijatých před uzavřením smlouvy na žádost tohoto subjektu údajů
- týká se osobních údajů specifikovaných v odst.3 pod písm.: a), b), c), e), f), g)

Zpracování údajů dle odst. 3 písm. a), b), c) je nezbytné, neboť se jedná o základní údaje subjektu údajů, bez nichž nelze subjekt identifikovat a objednané zboží doručit.

Zpracování údaje dle odst. 3 písm. e) (telefonní číslo) je nezbytným kontaktním údajem pro orgány celní správy subjektu údajů, které se touto formou se subjektem údajů spojí a komunikují s ním proclení zboží do země určení; těmto orgánům předává telefonní číslo přepravce zboží, kterému bylo sděleno dodavatelem zboží v Čínské lidové republice; tento údaj je nezbytný rovněž pro správce údajů, dodavatele zboží v Čínské lidové republice a přepravce zboží za účelem nezbytné komunikace týkající se přepravy zboží.

Zpracování údaje dle odst. 3 písm. f) (e-mail) je nezbytným kontaktním údajem pro účely komunikace mezi správcem údajů (prodávajícím) a subjektem údajů (kupujícím); e-mail slouží jako prostředek komunikace na dálku k uzavření kupní smlouvy a dalším souvisejícím právním jednáním či související komunikaci mezi správcem údajů (prodávajícím) a subjektem údajů (kupujícím).

Zpracování údaje dle odst. 3 písm. g) (bankovní účet) je nezbytným kontaktním údajem v případě potřeby vrátit platbu, kterou správce údajů přijal, subjektu údajů zpět.

čl. 6 odst. 1 písm. c) GDPR, tedy že zpracování je nezbytné pro splnění právní povinnosti správce osobních údajů, konkrétně pro účely zpracování a vedení účetnictví/daňové evidence
- týká se osobních údajů specifikovaných v odst. 3 pod písm.: a), b), c), d).

6. Osobní údaje subjektu osobních údajů zpracovává Společnost po dobu nezbytnou k výkonu práv a povinností vyplývajících ze smluvního vztahu mezi Společností a subjektem osobních údajů a uplatňování nároků z těchto smluvních vztahů a dále po dobu 10 let od ukončení smluvního vztahu. Po uplynutí doby uchovávání osobních údajů správce osobní údaje vymaže.

7. Osobní údaje dle odst. 3 písm. a), b), e) budou předány dodavateli správce údajů do Čínské lidové republiky, ohledně níž Komise nevydala rozhodnutí o odpovídající úrovni ochrany osobních údajů dle čl. 45 GDPR. Předání osobních údajů je tak založeno na výjimce ve smyslu ustanovení čl. 49 odst. 1 písm. b) GDPR, dle kterého je předání nezbytné pro splnění smlouvy mezi subjektem údajů a správcem.

8. V současné době nemá Společnost žádné zaměstnance a osobní údaje tak zpracovává přímo statutární orgán Společnosti a Společníci společnosti. Bude-li mít Společnost zaměstnance a budou-li mít tito zaměstnanci s ohledem na své pracovní zařazení k osobním údajům přístup, budou Společnosti zavázáni povinností mlčenlivosti.

9. Mimo samotný subjekt údajů mohou být jeho osobní údaje dále předány:

dodavateli správce údajů v Čínské lidové republice, který odpovídá za zaslání zboží zákazníkům z Čínské lidové republiky (tomuto dodavateli jsou předávány výlučně údaje dle odst. 3 písm. a), b), e)),
přepravci subjektem údajů objednaného zboží (tomuto jsou předávány výlučně údaje dle odst. 3 písm. a), b), e)),
orgánům veřejné moci země, kam je zboží určeno (zejm. orgánům celní správy),
externí účetní Společnosti (fakturační údaje),
advokátovi Společnosti,
orgánům veřejné moci (soud, orgány činné v trestním řízení, apod.),
soudnímu exekutorovi nebo insolvenčnímu správci.

10. Osobní údaje subjektu osobních údajů jsou získávány odsamotného subjektu osobních údajů.

11. Subjekt osobních údajůmá ve smyslu čl. 15 Nařízeníprávo na přístup k osobním údajům. Toto zahrnuje právo získat od Společnosti potvrzení, zda dochází ke zpracování jeho osobních údajů, a pokud je zpracovává, pak právo získat přístup k těmto údajům a k následujícím informacím:

seznam osobních údajů, které jsou zpracovány,
účel zpracování těchto osobních údajů,
příjemci nebo kategorie příjemců, kterým osobní údaje subjektu osobních údajůbyly nebo budou zpřístupněny,
zdroje osobních údajů, nebyly-li získány přímo od subjektů osobních údajů,
doba zpracování osobních údajů či způsob jejího určení,
existence práva požadovat po Společnosti opravu/doplnění osobních údajů ve smyslu čl. 16 Nařízení, práva požadovat výmaz osobních údajů (právo být zapomenut) ve smyslu čl. 17 Nařízení, práva na omezení zpracování osobních údajů ve smyslu čl. 18 Nařízení, práva vznést námitku proti zpracování osobních údajů ve smyslu čl. 21 Nařízení, práva na přenositelnost svých osobních údajů ve smyslu čl. 20 Nařízení, práva podat stížnost u dozorového úřadu ve smyslu čl. 77 Nařízení a práva na soudní ochranu subjektu osobních údajů ve smyslu čl. 78 a 79 Nařízení.

Žádost o uplatnění práva subjektu osobních údajů podle tohoto článku zašle subjekt osobních údajů na e-mailovou adresuSpolečnostis tím, že Společnost požadované údaje zašle na e-mailovou adresu subjektu osobních údajů, z níž byla žádost odeslána.Zašle-li subjekt osobních údajů žádost v listinné podobě, a požádá-li zároveň o zaslání informace dle tohoto článku v listinné podobě (případně neuvede-li kontaktní e-mail, kam mu bude možné informace dle tohoto článku zaslat v elektronické podobě), bude mu Společností naúčtován administrativní poplatek ve výši 100,- Kč.

Společnost je povinna na žádost subjektu osobních údajů ve smyslu tohoto článku písemně odpovědět bez zbytečného odkladu, nejpozději do jednoho (1) měsíce ode dne obdržení žádosti; v případech, kdy to odůvodňují zvláštní okolnosti, nejpozději do dvou (2) měsíců ode dne obdržení žádosti. Dojde-li k odkladu odpovědi ve smyslu předchozí věty za středníkem, je Společnost povinna o tom subjekt údajů informovat do jednoho (1) měsíce ode dne obdržení žádosti, včetně uvedení důvodů pro takový odklad.

Pokud o to subjekt osobních údajů požádá, je Společnost povinna mu vydat i kopii osobních údajů, které zpracovává, a to primárně v elektronické podobě. Požádá-li však subjekt osobních údajů o předání kopií v listinné podobě, případně neposkytne-li Společnosti pro tento účel e-mailovou adresu, poskytne Společnost kopie v listinné podobě. Za poskytnutí kopií v listinné podobě účtuje Společnost administrativní poplatek ve výši5,- Kč/list.

12. Subjekt osobních údajů má právo po Společnosti požadovat opravu či doplnění osobních údajůve smyslu čl. 16 Nařízení, a to:

- telefonicky na tel. číslo specifikované v bodě 1,
- na e-mailovou adresu specifikovanou v bodě 1,
- v listinné podobě na adresu sídla Společnosti.

Požaduje-li subjekt osobních údajůze strany Společnosti písemnou reakci, je povinen žádost o uplatnění práva podle tohoto článku zaslatpísemně (na e-mailovou adresu Společnosti nebo v listinné podobě - viz výše), s tím, že Společnost opravu či doplnění provede, a subjektu osobních údajůzašlena jeho e-mailovou adresu, z níž byla žádost odeslána, potvrzení o provedení opravy/doplnění. Zašle-li subjekt osobních údajů žádost v listinné podobě, a požádá-li zároveň o zaslání informace dle tohoto článku v listinné podobě (případně neuvede-li kontaktní e-mail, kam mu bude možné informace dle tohoto článku zaslat v elektronické podobě), bude mu Společností naúčtován administrativní poplatek ve výši 100,- Kč.

Společnost je povinnaposkytnout na žádost subjektu osobních údajůinformace o opatřeních přijatých v souvislosti s jeho žádostí dle tohoto článku, a to bez zbytečného odkladu, nejpozději do jednoho (1) měsíce ode dne obdržení žádosti; v případech, kdy to odůvodňují zvláštní okolnosti, nejpozději do dvou (2) měsíců ode dne obdržení žádosti. Dojde-li k odkladu odpovědi ve smyslu předchozí věty za středníkem, je Společnost povinna o tom subjekt osobních údajůinformovat do jednoho (1) měsíce ode dne obdržení žádosti, včetně uvedení důvodů pro takový odklad.

13. Subjekt osobních údajů má právo po Společnosti požadovat výmaz svých osobních údajů (právo být zapomenut) ve smyslu čl. 17 Nařízení, to však pouze:

nejsou-li již tyto údaje potřebné pro účel, pro který jsou zpracovávány,
neexistuje žádný právní důvod pro zpracování těchto údajů,
byly-li osobní údaje zpracovány protiprávně,
je-li třeba, aby byly osobní údaje vymazány ke splnění právní povinnosti.

I kdyby byly splněny výše specifikované podmínky, právo na výmaz osobních údajůsubjekt osobních údajůnemá, jestliže je zpracování nezbytné:

pro výkon práva na svobodu slova a informace,
pro splnění právní povinnosti dle platných a účinných právních předpisů, případně pro splnění úkolu ve veřejném zájmu nebo při výkonu veřejné moci,
pro účely archivace ve veřejném zájmu, vědeckého či historického výzkumu nebo pro účely statistické,
z důvodu veřejného zájmu v oblasti veřejného zdraví,
pro určení, výkon nebo obhajobu právních nároků.

Žádost o uplatnění práva subjekt osobních údajůpodle tohoto článku zašle na e-mailovou adresu Společnosti s tím, že Společnost požadované údaje zašle na e-mailovou adresu subjektu osobních údajů, z níž byla žádost odeslána. Zašle-li subjekt osobních údajů žádost v listinné podobě, a požádá-li zároveň o zaslání informace dle tohoto článku v listinné podobě (případně neuvede-li kontaktní e-mail, kam mu bude možné informace dle tohoto článku zaslat v elektronické podobě), bude mu Společností naúčtován administrativní poplatek ve výši 100,- Kč.

Společnost je povinna na žádost subjektu osobních údajů informace o opatřeních přijatých v souvislosti s jeho žádostí dle tohoto článku, a to bez zbytečného odkladu, nejpozději do jednoho (1) měsíce ode dne obdržení žádosti; v případech, kdy to odůvodňují zvláštní okolnosti, nejpozději do dvou (2) měsíců ode dne obdržení žádosti. Dojde-li k odkladu odpovědi ve smyslu předchozí věty za středníkem, je Společnost povinna o tom subjekt osobních údajů informovat do jednoho (1) měsíce ode dne obdržení žádosti, včetně uvedení důvodů pro takový odklad.

14. Subjekt osobních údajů má právo po Společnosti požadovat omezení zpracování svých osobních údajů ve smyslu čl. 18 Nařízení, to však pouze:

popírá-li přesnost osobních údajů, a to po dobu, než přesnost Společnost ověří; tyto osobní údaje pak mohou být po dobu trvání omezení zpracování zpracovány pouze ve smyslu uložení pro určení, výkon nebo obhajobu právních nároků, v důležitém veřejném zájmu, pro ochranu zájmů jiné fyzické či právnické osoby, nebo jen se souhlasem subjektu osobních údajů,
je-li zpracování osobních údajů protiprávní, a subjekt osobních údajů nechce využít práva být zapomenut ve smyslu čl. 17 Nařízení, ale tohoto práva,
Společnostjiž osobní údaje subjektu osobních údajů nepotřebuje pro účely zpracování, ale subjekt osobních údajůje potřebuje pro určení, výkon nebo obhajobu právních nároků.

Využije-li subjekt osobních údajů tohoto práva, je Společnost povinna jej ještě před uplynutím doby pro omezení zpracování jeho osobních údajů informovat o tom, že bude omezení zpracování zrušeno.

Společnost je povinna informovat veškeré příjemce osobních údajů subjektu osobních údajů o opravách, výmazech nebo omezení zpracování konkrétních osobních údajů.

Žádost o uplatnění práva subjektu osobních údajů podle tohoto článku zašle subjekt osobních údajů na e-mailovou adresu Společnostis tím, že Společnost požadované údaje zašle na e-mailovou adresu subjektu osobních údajů, z níž byla žádost odeslána. Zašle-li subjekt osobních údajů žádost v listinné podobě, a požádá-li zároveň o zaslání informace dle tohoto článku v listinné podobě (případně neuvede-li kontaktní e-mail, kam mu bude možné informace dle tohoto článku zaslat v elektronické podobě), bude mu Společností naúčtován administrativní poplatek ve výši 100,- Kč.

Společnost je povinna poskytnout na žádost subjektu osobních údajůinformace o opatřeních přijatých v souvislosti s jeho žádostí dle tohoto článku, a to bez zbytečného odkladu, nejpozději do jednoho (1) měsíce ode dne obdržení žádosti; v případech, kdy to odůvodňují zvláštní okolnosti,nejpozději do dvou (2) měsíců ode dne obdržení žádosti. Dojde-li k odkladu odpovědi ve smyslu předchozí věty za středníkem, je Společnost povinna o tom subjekt osobních údajů informovat do jednoho (1) měsíce ode dne obdržení žádosti, včetně uvedení důvodů pro takový odklad.

15. Subjekt osobních údajů má právo na přenositelnost osobních údajů ve smyslu čl. 20 Nařízení, které zahrnuje právo získat osobní údaje, které se jej týkají, ve strukturovaném, běžně používaném a strojově čitelném formátu, a právo předat tyto údaje jinému správci osobních údajů, jsou-li tyto osobní údaje zpracovávány automatizovaně. Je-li to technicky proveditelné, má subjekt osobních údajů právo požadovat po Společnosti, aby byly tyto osobní údaje předány (zaslány) jinému správci údajů napřímo.

Žádost o uplatnění práva subjektu osobních údajůpodle tohoto článku zašle subjekt osobních údajů na e-mailovou adresu Společnostis tím, že Společnost požadované údaje zašle na e-mailovou adresu subjektu osobních údajů, z níž byla žádost odeslána. Zašle-li subjekt osobních údajů žádost v listinné podobě, a požádá-li zároveň o zaslání informace dle tohoto článku v listinné podobě (případně neuvede-li kontaktní e-mail, kam mu bude možné informace dle tohoto článku zaslat v elektronické podobě), bude mu Společností naúčtován administrativní poplatek ve výši 100,- Kč.

Společnost je povinna na žádost subjektu osobních údajů informace o opatřeních přijatých v souvislosti s jeho žádostí dle tohoto článku, a to bez zbytečného odkladu, nejpozději do jednoho (1) měsíce ode dne obdržení žádosti; v případech, kdy to odůvodňují zvláštní okolnosti, nejpozději do dvou (2) měsíců ode dne obdržení žádosti. Dojde-li k odkladu odpovědi ve smyslu předchozí věty za středníkem, je Společnost povinna o tom subjekt osobních údajů informovat do jednoho (1) měsíce ode dne obdržení žádosti, včetně uvedení důvodů pro takový odklad.

16. Nepřijme-li Společnost opatření, o které subjekt osobních údajů požádal, je Společnost povinna subjekt osobních údajů opět ve lhůtě do jednoho (1) měsíce ode dne přijetí žádosti informovat o důvodech.

17. Subjekt osobních údajů má právo podat u Úřadu pro ochranu osobních údajů (dále také jen: „Úřad“)ve smyslu čl. 77 Nařízenístížnost, domnívá-li se, že zpracováním jeho osobních údajů došlo ze strany Společnosti k porušení Nařízení. Proti závaznému rozhodnutí tohoto úřadu, nebo v případě, že se úřad stížností nezabývá nebo neinformuje-li subjekt osobních údajůdo tří (3) měsíců ode dne podání stížnosti o postupu ve věci je subjekt osobních údajůoprávněn požadovat soudní ochranu.

18. Subjekt osobních údajůmá právo na soudní ochranu, a to jak vůči Úřadu, tak vůči Společnosti jakožto správci osobních údajů. Podrobnější informace k uplatnění práva na soudní ochranu jsou specifikovány v čl. 78 a 79 Nařízení.

19. Je-li pravděpodobné, že určitý případ porušení zabezpečení osobních údajů bude mít za následek vysoké riziko pro práva a svobody subjektu osobních údajů (s výjimkou případů, kdy ustanovení čl. 34 Nařízení GDPR tento postup Společnosti neukládá), je společnost povinna ohlásit Úřadu jakékoli porušení zabezpečení osobních údajů, a to ve lhůtě bez zbytečného odkladu, nejpozději do 72 hodin od okamžiku zjištění. Nestihne-li Společnost ohlásit porušení zabezpečení do 72 hodin, je povinna současně s pozdním ohlášením uvést Úřadu důvody takového zpoždění. Pravidlo o povinnosti oznámení porušení zabezpečení Úřadu se neuplatní, pokud je nepravděpodobné, že by mělo za následek riziko pro právo a svobody subjektů údajů. Oznámení na Úřad musí obsahovat náležitosti stanovené čl. 34 Nařízení GDPR.
